1. What we do

Roewan is an online marketplace where independent artists (“Creators”) sell custom artwork commissions and digital downloads to buyers (“Customers”). We provide discovery, messaging, payment processing, order management, and file delivery tools. We are not the seller of Creator content; the sale is between Customer and the Creator. We may also offer optional, paid tools or subscriptions to Creators.

2. Your account

You must be at least 18 (or the age of majority in your jurisdiction) to create an account. You're responsible for the accuracy of your information and for all activity under your account. Don't share your password. We may suspend or terminate accounts that violate these Terms or our Acceptable Use Policy.

4. Payments, fees, and taxes

Payments are processed by Stripe. By buying, selling, or creating a connected account, you agree to Stripe's terms (including the Stripe Services Agreement and, for Creators, the Stripe Connected Account Agreement). We may charge Customers and/or Creators fees disclosed at checkout or in your account settings. Creators are responsible for their taxes; where required, we may collect and remit taxes or provide reports.

5. Orders, deliveries, revisions

Creators should deliver digital files through Roewan. Listings specify scope, format, timelines, and revision limits. Customers must review and approve deliverables within the specified window; lack of response may auto-complete delivery.

6. Refunds and cancellations

See our Refund & Cancellation Policy (incorporated by reference). We may issue refunds or credits at our discretion and may withhold or reverse Creator payouts to resolve negative balances or disputes.

7. Intellectual property

Unless otherwise stated in a listing, Creators retain copyright to their work. Upon full payment, Customers receive a license described in the listing (e.g., personal/non-commercial use). Commercial rights must be explicitly granted in writing. Do not upload or request infringing, illegal, or prohibited content. See our Acceptable Use Policy and DMCA section.

8. Prohibited uses and content

You must follow our Acceptable Use Policy. We can remove content, suspend accounts, or refuse service if you violate these Terms or applicable law.

9. Dispute between users

Creators and Customers should first try to resolve issues via Roewan messaging. If needed, contact support. We may review order history and evidence (briefs, files, approvals) and make a good-faith determination; our decision does not waive any legal rights either party may have.

10. Platform changes

We may change features, pricing, or policies with reasonable notice where required. Continued use after changes means you accept the updated terms.

11. Warranty disclaimer

Roewan is provided “as is.” We do not guarantee uninterrupted or error-free service, or specific results. To the fullest extent permitted by law, we disclaim all warranties, express or implied.

12. Limitation of liability

To the fullest extent permitted by law, Roewan, its affiliates, and personnel will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses. Our aggregate liability for any claim is limited to the greater of: (a) the amounts you paid to us in the 6 months before the event giving rise to liability, or (b) USD $100.

13. Indemnity

You agree to defend and indemnify Roewan against claims arising from: (i) your content; (ii) your use of the platform; (iii) your violation of these Terms or law; (iv) any transaction between you and another user.

14. DMCA / IP complaints

If you believe content infringes your rights, email support@roewan.com with: (1) your contact info, (2) description of the work, (3) the infringing URL/content, (4) a statement under penalty of perjury of your good-faith belief, and (5) your signature. We may remove content and notify the Creator.

15. Governing law; venue

These Terms are governed by the laws of The United States of America, excluding conflict-of-law rules. Courts located in Phoenix, Arizona have exclusive jurisdiction.

16. Termination

You may stop using Roewan at any time. We may terminate or suspend access for any reason, including violations. Sections that by nature should survive (e.g., payments, IP, disclaimers, limits of liability) will survive termination.
